Privacy Policy

1. About this Policy
Borderlands LLC (“Borderlands,” “we,” “us”) operates an investor portal (the “Portal”) for prospective and existing investors in the Borderlands Outdoor Resort & Amphitheater project. This Privacy Policy describes the information we collect through the Portal, how we use it, and the third parties with whom we share it. By using the Portal, you accept this Privacy Policy.
2. Information We Collect
You may voluntarily provide information to us in the course of using the Portal, including:
- Identity and contact information (name, email address, phone number, mailing address, employer).
- Accreditation status and supporting representations under Regulation D.
- Investment-related information (indicated interest amount, reservation deposits, subscription details, ownership entity information).
- Banking and payment information used to fund deposits and subscriptions.
- Documents you upload (e.g., NDAs, subscription agreements, accreditation evidence).
- Usage data, including pages viewed, documents accessed, and timestamps.
3. Third-Party Service Providers
We use trusted third-party providers to operate the Portal. These providers process information on our behalf under their own terms and privacy policies:
- Plaid Inc. — used to securely link your bank account for ACH transfers. When you connect a bank account through Plaid Link, your banking credentials are entered directly into Plaid and are never received or stored by Borderlands. We receive only limited account verification and metadata (such as institution name, account type, last four digits, and a tokenized account reference) needed to facilitate ACH transfers. Plaid’s use of your information is governed by the Plaid End User Privacy Policy.
- Dwolla, Inc. — used to initiate and settle ACH transfers between your linked bank account and Borderlands’ receiving account. Information you provide may be shared with Dwolla to create a customer record and funding source as required by their terms.
- Supabase — used as our authentication, database, and file-storage provider. Information you submit through the Portal is stored on Supabase infrastructure.
- Google Drive — used by our team to manage source documents that are published to the Portal. Drive is used by Borderlands staff; investor-uploaded documents are stored in our database, not in Drive.
- Email service providers — used to deliver authentication emails, investor notifications, and transactional messages.
4. How We Use Information
We use information collected through the Portal solely for:
- Investor qualification, accreditation verification, and onboarding.
- Processing reservation deposits, capital calls, and subscription transactions.
- Communicating with you about the offering, your account, and project updates.
- Regulatory compliance, including recordkeeping required by federal and state securities laws.
- Operating, securing, and improving the Portal.
5. Data Sharing
We do not sell personal information. We share information only with the service providers described above, with our attorneys, accountants, and other professional advisors, and as required by law, regulation, subpoena, or court order. If Borderlands undergoes a corporate transaction (such as a merger or sale of assets), information may be transferred as part of that transaction subject to this Policy.
6. Data Retention
We retain information for as long as your account is active and for the period necessary to satisfy our legal, tax, accounting, and regulatory obligations, including obligations under federal and state securities laws. You may request deletion of your information as described below, subject to these retention requirements.
7. Security
We protect information using industry-standard measures including encryption in transit (TLS), encrypted storage, role-based access controls, row-level security policies in our database, multi-factor authentication for administrators, and secure cloud infrastructure. No method of transmission or storage is perfectly secure, and we cannot guarantee absolute security.
8. Your Choices and Rights
Subject to applicable law, you may request access to, correction of, or deletion of personal information we hold about you. You may also withdraw a reservation deposit at any time before closing in accordance with the Reservation Deposit Acknowledgement. To exercise these rights, contact us at the email below.
9. Children
The Portal is intended for accredited investors and is not directed to children under 18. We do not knowingly collect information from children.
10. Changes to this Policy
We may update this Policy from time to time. Material changes will be posted on this page with a revised effective date. Continued use of the Portal after a change constitutes acceptance of the updated Policy.
